1. Not a Broker, Lender, or Advisor

SmartDeal365 is not a licensed real estate broker or agent, mortgage broker, mortgage loan originator, lender, attorney, accountant, tax advisor, financial advisor, or investment advisor. Unless expressly stated otherwise in a signed written agreement, SmartDeal365 and its affiliates act as principals, as holders of an equitable interest in a real estate purchase contract, or as joint venture partners, and do not represent you. No agency, fiduciary, or advisory relationship is created by your use of the Platform or by any communication with our team.

2. Sale of Contract Interest

Many deals on the Platform are marketed on the basis of an equitable interest in a purchase contract. In those cases, SmartDeal365 or a Deal Partner is offering to assign or transfer its rights under that contract, and is not offering to sell real property that it owns, unless otherwise stated in the written agreement for that deal. Any assignment fee or compensation is disclosed in the written agreement.

3. Third-Party Deals

Some deals are provided by independent wholesalers, investors, and other partners. SmartDeal365 does not control, verify, or guarantee every detail of third-party deals and is not responsible for the acts or omissions of Deal Partners.

4. No Guarantee of Information

All property information — including condition, photos, square footage, bedrooms and bathrooms, price, entry fee, loan balance, interest rate, monthly payment, taxes, insurance, HOA, ARV, repair estimates, rents, cash flow, equity, and ROI — is deemed reliable but not guaranteed. It may be based on estimates, seller statements, or third-party sources, and may contain errors or change without notice. Properties may be sold, under contract, or withdrawn at any time.

5. No Guarantee of Results

Real estate investing involves substantial risk, including the risk of losing your entire investment. Any projections, examples, case studies, or figures are illustrative only. Results achieved by SmartDeal365, its founders, team members, community members, or partners — including any statement about collective or community transaction volume — are not typical and do not guarantee that you will achieve similar results. Your results depend on your own decisions, experience, capital, market conditions, and many other factors.

6. Creative Finance Risk Notice

Creative finance transactions, including Subject-To, Seller Financing, wraparound mortgages, Novation, and lease options, carry specific legal and financial risks, including but not limited to:

  • the lender's right to accelerate a loan under a due-on-sale clause;
  • default, late payments, and foreclosure on underlying loans;
  • changes in taxes, insurance, escrow, and interest rates;
  • compliance obligations under federal and state lending, licensing, disclosure, and consumer-protection laws, which may vary by state;
  • local regulations affecting short-term rentals, co-living, zoning, and occupancy.

7. Your Due Diligence

You are solely responsible for independently verifying all information and conducting your own due diligence, including inspections, title search and title insurance, loan verification, lien and tax searches, valuation, and legal review. Properties are generally offered "as is, where is, with all faults," without warranties of any kind unless stated in a signed written agreement.

8. Not Legal, Tax, Financial, or Investment Advice

All content on the Platform, in our emails, texts, calls, webinars, Zoom sessions, social media, and other materials is for general informational and educational purposes only and is not legal, tax, financial, or investment advice. Nothing on the Platform is an offer to sell or a solicitation of an offer to buy any security.

9. Services Are Transactional Support Only

References to "transaction coordination," "deal support," "underwriting," or similar services describe general assistance with organizing a transaction. They do not replace the services of licensed title companies, escrow agents, closing attorneys, lenders, inspectors, or other professionals, and do not constitute a guarantee of any outcome, closing, or protection of equity.
